By accessing our website or entering into a service agreement with us, you accept and agree to be bound by these terms.

01

'Client' or 'You' refers to any individual, company, or organisation engaging TechYenthra Technologies for services or accessing this website. 'Services' means any software development, AI solutions, consulting, design, DevOps, or related IT services provided by us. 'SOW' means Statement of Work — a written document defining the scope, deliverables, timeline, and fees for a specific engagement. 'Deliverables' means any code, designs, documents, or outputs produced by us under an SOW. 'Confidential Information' means any non-public business, technical, or financial information shared between the parties.

02

Acceptance of Terms

By accessing our website, submitting an enquiry, signing an SOW, or engaging our services in any form, you confirm that you have read, understood, and agree to these Terms & Conditions in their entirety. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these terms, please do not use our services or website.

03

Services

TechYenthra Technologies provides custom software development, AI and machine learning solutions, mobile app development, cloud architecture, UI/UX design, DevOps, cybersecurity consulting, and related IT services. The specific scope, deliverables, timelines, milestones, and pricing for each engagement are defined in individual Statements of Work (SOW) or service agreements executed in writing between both parties. We reserve the right to decline any engagement at our sole discretion.

04

User Responsibilities

As a client or website user, you agree to: (1) provide accurate, complete, and up-to-date information required for service delivery; (2) cooperate and respond promptly to requests for input, approvals, or feedback; (3) ensure that materials you provide (content, data, designs, third-party software) do not infringe any third-party rights; (4) maintain confidentiality of any access credentials provided to you; (5) not misuse our website, APIs, or any software products we operate. Failure to fulfil these responsibilities may impact delivery timelines and does not entitle you to refunds or damages.

05

Acceptable Use Policy

You agree not to use our website or services to: (1) engage in any unlawful, fraudulent, or harmful activity; (2) transmit viruses, malware, or any code designed to disrupt or damage systems; (3) attempt to gain unauthorised access to our systems or those of our clients; (4) scrape, harvest, or collect data from our website without permission; (5) infringe intellectual property rights of any party; (6) send unsolicited communications (spam); (7) impersonate any person or entity; (8) violate any applicable Indian or international law or regulation. We reserve the right to suspend or terminate access for any violation of this policy.

06

Account Security

Where we provide access credentials (logins, API keys, SSH keys) for project environments, staging servers, or software products, you are responsible for maintaining the security of those credentials. You must notify us immediately at info@techyenthra.com if you suspect any unauthorised access. We shall not be liable for any loss or damage arising from your failure to maintain adequate credential security.

07

Subscription & Billing

For SaaS products operated by TechYenthra Technologies (including CodeSense and Jothisham), subscription fees are billed as specified in the applicable product pricing plan. For custom project engagements, payment terms, milestones, and schedules are defined in the SOW. Unless otherwise agreed: invoices are due within 15 days of issuance; late payments incur a charge of 1.5% per month on outstanding balances; we reserve the right to pause work or restrict access on unpaid accounts; all fees are exclusive of applicable taxes (GST) which will be charged as required by law.

08

Third-Party Services

Our services may incorporate or recommend third-party tools, APIs, cloud providers, payment gateways, or software libraries. We are not responsible for the performance, availability, pricing, or terms of third-party services. Any third-party costs (cloud hosting, API usage, licensing fees) are the client's responsibility unless explicitly included in the SOW. We will notify you before integrating any significant third-party service into your project.

09

Data Protection & Privacy

We process personal data in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023 (DPDPA) of India. Where we process personal data on your behalf as a Data Processor, a separate Data Processing Agreement (DPA) may be executed. We implement appropriate technical and organisational measures to protect personal data and will notify you of any data breach affecting your data without undue delay.

10

Confidentiality

Both parties agree to maintain strict confidentiality of all Confidential Information received from the other party. This obligation shall survive termination of any engagement for a period of 3 years. Neither party shall disclose Confidential Information to any third party without prior written consent, except: (a) to employees or contractors with a need to know, bound by equivalent confidentiality obligations; or (b) as required by applicable law or court order, in which case the disclosing party shall provide prior written notice where legally permitted.

11

Intellectual Property

Upon receipt of full payment, the client shall own all custom code, designs, and deliverables created specifically for their project as defined in the SOW. We retain ownership of: all pre-existing proprietary frameworks, tools, and methodologies; general-purpose code, libraries, or patterns developed independently. Open-source components included in deliverables remain subject to their respective licences, which we will document. We retain the right to reference the project in our portfolio unless you request confidentiality in writing.

12

Termination

Either party may terminate a project engagement with 30 days' written notice. Upon termination: the client shall pay for all work completed and reasonable expenses incurred up to the termination date; work completed but not fully paid for remains the property of TechYenthra Technologies until full settlement; we will deliver all completed work products upon receipt of outstanding payment. We may terminate immediately and without notice for material breach, non-payment exceeding 30 days, or conduct that violates our Acceptable Use Policy.

13

Force Majeure

Neither party shall be in breach of these terms or liable for delay in performing, or failure to perform, any obligations if such delay or failure results from events, circumstances, or causes beyond its reasonable control, including: acts of God, flood, fire, earthquake, epidemic or pandemic, war, terrorism, civil unrest, government action, power failure, or internet service disruption. The affected party shall notify the other as soon as reasonably possible and shall use all reasonable endeavours to mitigate the effect of the force majeure event.

14

Warranties & Representations

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards and best practices. We do not warrant that any software will be entirely error-free or uninterrupted. We commit to addressing material defects within the warranty period specified in the SOW (typically 30–90 days post-delivery). THE SERVICES ARE PROVIDED 'AS IS' TO THE EXTENT PERMITTED BY APPLICABLE LAW, AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

15

Dispute Resolution

In the event of a dispute, the parties shall first attempt to resolve it through good-faith negotiation within 30 days. If unresolved, the dispute shall be referred to mediation under the Mediation Act, 2023 of India before initiating formal legal proceedings. If mediation fails, disputes shall be resolved by the competent courts of Madurai, Tamil Nadu, India in accordance with Indian law.

16

Limitation of Liability

To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or related to our services shall not exceed the total fees paid by you in the three months immediately preceding the claim. In no event shall we be liable for indirect, incidental, consequential, exemplary, or punitive damages, including loss of profit, data, business, or goodwill, even if advised of the possibility of such damages.

17

Severability

If any provision of these Terms & Conditions is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.
